"On Amendments to the Law of Ukraine "On Civil Associations" to Provide for Activity of National Ukrainian Civil Associations"

The Law of Ukraine "On Civil Associations" N4572-VI of March 22, 2012 establishes the legal and organizational principles of exercising the right to freedom of association, as guaranteed by the Constitution of Ukraine and the international agreements of Ukraine ratified by the Verkhovna Rada of Ukraine, and the procedure for creation, registration, activity, and termination of civil associations.

The legal status of segregated units of a civil association is determined by Article 13 of the Law of Ukraine "On Civil Associations".

The Law presents a new version of Article 13, part 2 of the Law of Ukraine "On Civil Associations", which establishes the following:
  • segregated units of a civil association do not have the legal entity status, except in cases provided for by the Law of Ukraine "On Civil Associations";
  • segregated units of a civil association are created and conduct their activity based on the statute of the civil association;
  • segregated units of a civil association with a legal entity status can have their own provision, if so provided for by the civil association's statute. The provision on the segregated unit of a civil association shall contain information about the name of the segregated unit, the name of its managing (and, if necessary, controlling) bodies, the procedure for election (appointment), term of office, and the scope of authority of the managing (and, if necessary, controlling) bodies. The provision on the segregated unit of a civil association must not be in conflict with laws or with the statute of the civil association.

The Law also presents a new version of paragraph 8 of the Final and Transitional Provisions of the Law of Ukraine "On Civil Association", envisaging the following:
  • local departments of national Ukrainian (international) civil organizations that possessed a legal entity status as of the day the Law of Ukraine "On Civil Associations" took effect, retain their legal entity status after the Law of Ukraine "On Civil Associations" takes effect, by decision of the supreme managing body of the national Ukrainian (international) civil organization;
  • the statutes (provisions) of local departments of national Ukrainian (international) civil organizations that possessed a legal entity status as of the day the Law of Ukraine "On Civil Associations" took effect, must be brought to compliance with the Law of Ukraine "On Civil Associations" within five years of the Law taking effect;
  • the decision to change the membership of the managing bodies, statutes (provisions) and locations of local departments of national Ukrainian (international) civil organizations, as well as the decision to terminate local departments of national Ukrainian (international) civil organizations are made according to the procedure determined by the Law of Ukraine "On Civil Associations" for civil associations;
  • the authorized body in the issues of registration of local departments of national Ukrainian (international) civil organizations that possessed a legal entity status as of the day the Law of Ukraine "On Civil Associations" took effect, shall be the appropriate body that is keeping the registration file of the local department as of the day the Law of Ukraine "On Civil Associations" takes effect;
  • if the supreme managing body of national Ukrainian (international) civil organization makes a decision to terminate its local departments with a legal entity status, the legal successor of the property, assets, and liabilities of such departments shall be the respective civil organization.
